Who provides the service
This site and the services described in it are operated by MGS Venture Management, S.C., trading as Criterium AI (“Criterium AI”, “we”). These terms govern the use of this site and, unless a signed contract states otherwise, apply on a supplementary basis to the services and products described here. A specific contract, scope letter, or signed work order prevails over this document wherever they conflict.
Scope of the services
We provide four services: Strategy, Governance, Upskilling, and Deployment. Each is contracted in four independent layers: Entry, Scoped, Recurring, and Product. Every layer is a legitimate endpoint: the client may stop at any of them with no obligation to contract the next. Scope, deliverables, schedule, and price for each layer are set in writing before work begins, and any change requires a signed change order.
Nature of the obligation
Unless expressly agreed otherwise, our services are obligations of means and not of result. We commit to applying the method, diligence, and criteria described in the proposal, and to documenting the evidence supporting each recommendation. We do not guarantee any specific financial return, since achieving it depends on the client's decisions, resources, and operating conditions. Where the evidence indicates an initiative should not be built, we will state so in writing.
What we do not do
Criterium AI implements existing products that require little coding: skills, APIs, and managed agents, stood up and connected to the client's systems. We do not develop custom software, we do not operate the client's infrastructure or runtime, and we are not responsible for the availability of third-party platforms. Any ad-hoc development is out of scope and, where applicable, is contracted separately with a third party.
Products and licensing
The AI Compass, AI Agent Factory, AI Academy, ARIA MCP, and ARIA Graph modules are licensed on a monthly subscription and activated by contract, not by project. The license is non-exclusive, non-transferable, and limited to the client's internal operations for the term of the subscription. Delivery of these products consists of configuration, connectors, and enablement; it does not include code customization. The firm's internal tools are not sold, licensed, or assigned.
Intellectual property
Deliverables produced specifically for the client, including diagnostics, process maps, business cases, policies, and the content of their operating graph (ARIA Graph), are the client's property once the corresponding price is paid. Criterium AI's methodology, frameworks, module software, templates, and pre-existing know-how remain the firm's property, and the client receives an internal-use license over whatever is needed to operate their deliverables. Criterium AI may reuse generic, anonymized learning derived from the engagement.
Operations, evidence, and suspension
In the Recurring layer of Deployment, the service commitment is defined on evidence and decision latency, not on availability. We monitor quality, cost, behavior, and coverage of agents in production, at three levels: Observed, Managed, and Operated. Criterium AI may recommend in writing that an agent be suspended; executing that suspension is the client's responsibility. Response times are within business hours and the minimum commitment for this layer is twelve months.
Prices, invoicing, and term
The prices published on this site are reference ranges in US dollars, do not constitute a binding offer, and are confirmed in the corresponding proposal. Scoped-layer engagements are invoiced by milestone; the Recurring layer is invoiced monthly by committed hours, monthly fee, or cohort, depending on the service; the Product layer is invoiced as a monthly subscription per module. Applicable taxes are added to the price. Non-payment entitles Criterium AI to suspend delivery upon prior notice.
Confidentiality
Both parties will treat non-public information received from the other as confidential and will use it only to perform the engagement. The obligation survives for five years after the relationship ends. Criterium AI will not disclose results attributable to a client without prior written authorization.
Accounts and conduct on the platforms
Access to AI Compass, AI Agent Factory, AI Academy, ARIA MCP, and ARIA Graph is personal: each user is responsible for activity performed with their credentials and may not share, assign, or transfer them. Reverse-engineering the modules, extracting content with bots or scrapers, interfering with platform security, or accessing material from programs one is not enrolled in is prohibited. We may suspend accounts that breach these rules, with prior notice where possible.
Use of artificial intelligence
Our modules and agents use third-party models. AI-generated responses, assessments, and recommendations are indicative and do not constitute legal, tax, medical, financial, or regulatory advice. We work on their quality and evaluate them against a baseline, but we do not warrant that they are accurate, complete, or applicable to a particular situation: the final decision and human oversight rest with the client.
Subscriptions, refunds, and certificates
Module subscriptions and AI Academy seats renew automatically at the end of each period unless cancelled beforehand. You may request a refund of a digital purchase within fourteen calendar days of payment, provided you have not consumed more than twenty-five percent of the content; beyond that threshold the purchase is considered consumed. AI Academy certificates attest completion of a program and are verifiable, but do not constitute an official academic degree.
Changes and termination
We may modify these terms; material changes will be announced at least fifteen calendar days in advance by email or by visible notice on the site, and continued use constitutes acceptance. The client may terminate a subscription from their panel or in writing; recurring services with a minimum commitment are governed by the term agreed in the corresponding contract.
Limitation of liability
Criterium AI's total liability to the client, on any ground and in the aggregate, is limited to the amount actually paid for the service giving rise to the claim during the preceding twelve months. Neither party is liable for indirect damages, loss of profit, data, or opportunity. This limitation does not apply to willful misconduct, fraud, or confidentiality obligations.
Use of the site
The content of this site, including text, diagrams, trademarks, and downloadable material, belongs to Criterium AI or its rights holders. Consultation and citation with attribution are permitted; commercial reproduction and mass automated extraction are not. Client marks are shown with their authorization. The information published is informational and does not constitute legal, tax, or investment advice.
Governing law and contact
These terms are governed by Mexican federal law. For any dispute, the parties submit to the competent courts of Criterium AI's registered domicile, waiving any other jurisdiction. For questions about these terms, write to hola@criterium-ai.com.
